Yellow Roadway, USF Deal Clears Antitrust Hurdle; Schedule Special Shareholder Meetings

Yellow Roadway Corp., Overland Park, Kan., and USF Corp., Chicago, Ill., announced they have received notice of the termination of the waiting period

pursuant to the Hart-Scott-Rodino Antitrust Improvements Act of 1976. Termination of the waiting period means the U.S. Department of Justice Antitrust Division has not asked for an extension to gather more information; the deal can go forward.
Yellow Roadway and USF both announced special shareholders meetings on May 23, 2005. At the Yellow Roadway meeting, shareholders will consider approving the issuance of additional shares of Yellow Roadway common stock in connection with the acquisition.
At the USF meeting, shareholders will consider approval of the merger.
Yellow Roadway and USF, both LTLs with Teamsters Union contracts, announced their deal in February.
