TransCore, Inc., the company that provides DAT Partners load matching, SmartPass RFID systems, GlobalWave satellite tracking, Keypoint operations software and other trucking products will be acquired by Roper Industries
, Inc., of Duluth, Ga. For $600 million.
Transcore operates the load boards found at most truckstops and had acquired most of its trucking related products from other companies over the past 5 years. The company also provides automated toll, security systems and a number of other technology-based products and services.
The purchase announcement came as a surprise to some since Transcore had announced in June it was considering an initial public offering and had been in what is referred to as the “quiet period” required by Security and Exchange Comission rules.
According to the Roper announcement, TransCore will operate as a standalone segment within Roper and continue to market its products under its current brand names and TransCore's senior management team, under president and CEO John Worthington, will continue to lead the business.
Headquartered in Harrisburg, Pennsylvania, TransCore has 1,800 employees throughout North America.
The acquisition is expected to close before the end of the year, subject to anti-trust review and customary closing conditions.
